Terms and Conditions for SpyderPOS
Effective Date: 6th March 2025
Please read these Terms and Conditions ("Terms") carefully before using the SpyderPOS application ("Service") operated by Ananse AI Ltd. ("Company," "we," "our," or "us"). By accessing or using the SpyderPOS Service, you ("User," "you," or "Customer") agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
1. Acceptance of Terms
By registering for or using SpyderPOS, you agree to comply with these Terms and Conditions. These Terms apply to all users of the Service, whether registered or not. If you are registering on behalf of a business or organization, you represent and warrant that you are authorized to accept these Terms on behalf of that business or organization.
2. License and Access
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use the SpyderPOS software for the duration of your subscription. This license is restricted to the features and functionalities associated with the plan you selected.
3. Account Registration and Security
To use SpyderPOS, you must create an account. You are responsible for providing accurate and complete registration information, maintaining the confidentiality of your login credentials, and all activities under your account.
- User Information: You agree to provide true, accurate, and complete information during registration and promptly update this information if it changes.
- Account Security: You are responsible for maintaining the security and confidentiality of your account login credentials. You must immediately notify us of any unauthorized access or security breach.
4. Subscriptions and Payment
SpyderPOS offers various subscription plans with different pricing and features. Payment for the Service is due in advance based on the subscription plan chosen (monthly or annual).
- Billing Cycle: Subscriptions are billed either monthly or annually. You will be charged at the start of each billing cycle.
- Payment Methods: We accept various payment methods, including credit cards and other methods as specified during registration.
- Refunds: Subscription fees are non-refundable, except as required by law or as part of our refund policy, if any.
- Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless canceled before the renewal date.
5. Free Trials
If you sign up for a free trial, you will have access to certain features of SpyderPOS for a limited period. At the end of the free trial, your subscription will automatically transition to the paid plan unless you cancel before the trial period ends.
6. User Responsibilities
You agree to:
- Use the Service only for lawful purposes and in accordance with applicable local, state, and international laws.
- Not use SpyderPOS for any fraudulent, abusive, or unlawful activities, including violating the rights of others.
- Not attempt to hack, reverse engineer, or disrupt the Service in any way.
7. Data Privacy and Security
By using SpyderPOS, you acknowledge and consent to our collection and use of personal and business data as described in our Privacy Policy. You retain ownership of your data, but you grant us the right to use it for providing the Service.
We will implement reasonable measures to protect your data, but we cannot guarantee that your data will be completely secure from unauthorized access.
8. Intellectual Property
SpyderPOS and its content are owned by Ananse AI Ltd. and are protected by intellectual property laws. You agree not to infringe on our intellectual property rights and to respect our ownership of the Service, including any trademarks, logos, code, and content.
9. Limitations of Liability
To the maximum extent permitted by law, Ananse AI Ltd. shall not be held liable for any indirect, incidental, special, or consequential damages arising out of the use or inability to use the Service, including loss of data, profits, or business opportunities.
Our total liability to you for any claims arising out of these Terms is limited to the total amount you have paid for the Service in the six months prior to the event that gave rise to the claim.
10. Term and Termination
- Term: These Terms are effective until terminated.
- Termination: You may terminate your subscription at any time by canceling your account. We may suspend or terminate your access if you violate these Terms.
- Effect of Termination: Upon termination, your access to the Service will be revoked, and you will not be entitled to any refund for amounts already paid.
11. Indemnification
You agree to indemnify and hold harmless Ananse AI Ltd., its affiliates, officers, employees, and agents from any claims, damages, losses, or liabilities, including legal fees, arising out of your use of the Service or any violation of these Terms.
12. Amendments to Terms
We reserve the right to update or modify these Terms at any time. Any changes will be effective immediately upon posting on our website or within the Service. It is your responsibility to review these Terms regularly.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Ghana, without regard to its conflict of law principles. Any legal action or proceeding related to these Terms shall be brought exclusively in the courts located in Ghana.
14. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.
